1. Acceptance of Terms

3. Services

Fusion Minds provides custom software development, digital transformation consulting, payment orchestration, live streaming infrastructure, AI/ML solutions, and related technology services. The scope, deliverables, timelines, and costs for each engagement are defined in individual service agreements or statements of work (SOW).

4. Intellectual Property

4.1 Company IP

All content on this website — including text, graphics, logos, code, and design — is the intellectual property of Fusion Minds Technologies Private Limited and is protected under the Indian Copyright Act, 1957, and applicable international copyright laws.

4.2 Client Deliverables

Intellectual property rights for client deliverables are governed by individual service agreements. Unless otherwise specified, upon full payment, clients receive a perpetual, non-exclusive license to use the delivered software.

5. User Obligations

You agree to:

• Provide accurate and current information in all communications
• Not use our services for any unlawful purpose
• Not attempt to gain unauthorized access to our systems
• Not reverse-engineer, decompile, or disassemble any software we provide
• Respect intellectual property rights of the Company and third parties

6. Payment Terms

• Payment terms are specified in individual service agreements
• All payments are processed through PCI DSS-compliant payment gateways
• Prices are quoted in Indian Rupees (INR) unless otherwise specified
• Applicable taxes (GST) will be charged as per prevailing rates
• Late payments may incur interest at 1.5% per month or the maximum rate permitted by law

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. Confidentiality obligations survive termination of the agreement for a period of 3 years.

8. Limitation of Liability

To the maximum extent permitted by law, Fusion Minds Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services. Our total liability shall not exceed the fees paid by you for the specific service giving rise to the claim.

9. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. Except as expressly stated, all services are provided "as is" without warranties of any kind, whether express or implied, including merchantability or fitness for a particular purpose.

10. Data Protection

We process personal data in accordance with our Privacy Policy, the Digital Personal Data Protection Act, 2023 (India), and the GDPR (where applicable). We maintain appropriate technical and organizational measures to protect your data.

11. Termination

Either party may terminate an engagement as specified in the relevant service agreement. In the absence of specific terms, either party may terminate with 30 days written notice. Termination does not relieve either party of obligations incurred prior to termination.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

13. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, government actions, pandemics, or internet/infrastructure failures.

14. Amendments

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the updated terms.
